Public offer agreement for Indian supplier verification services and representation. Effective from 1 January 2024.

SUNPOWER BIOTECH Public Offer — this document is the official offer for Indian supplier verification services. By accepting these terms, you enter into an agreement with SunPower Biotech Pvt Ltd (CIN: U01611GA2023PTC016033), an officially registered company in India.

Trade2Import Public Offer — Supplier Verification Terms and Conditions

This Trade2Import public offer constitutes a legally binding contract between SunPower Biotech Private Limited (hereinafter “the Service Provider”) and any individual or legal entity (hereinafter “the Client”) that accepts these terms for supplier verification services in India. Accepting this offer is equivalent to signing a bilateral agreement.

Parties to the Contract

Service Provider: SUNPOWER BIOTECH PRIVATE LIMITED, CIN: U01611GA2023PTC016033, GSTIN: 30ABLCS2922C1ZT. Registered address: Wisdomlab, N-66 Phase IV, Verna Industrial Estate, Verna, Goa, India, 403722. Email: contact@sunbiotech.biz. Phone: +91 72196-74042.

Client: any natural or legal person who has accepted this public offer through any of the acceptance methods described below.

Scope of Services

The Service Provider offers the following supplier verification services in India:

  • Document Verification — checking company registration, licences, GST, PAN, IEC via official Indian government databases. Starting from $149;
  • On-Site Factory Inspection — physical visit to the supplier’s premises with photo/video evidence and a detailed inspection report. Starting from $349;
  • Contract Compliance Monitoring — ongoing oversight of production milestones, quality, and shipment timelines. Price on request;
  • Interest Representation in India — acting on behalf of the Client in negotiations, document signing, and meetings. Price on request;
  • Compliance Audit — full assessment of supplier’s compliance with international standards, Indian labour law, and environmental regulations. Starting from $499;
  • Dispute Resolution Support — pre-litigation claims management and mediation with Indian counterparties. Starting from $299.

Pricing and Payment Terms

Service pricing is determined by the current price list or an individually agreed commercial proposal confirmed in a written invoice.

  • Advance payment: 50–100% of the service cost depending on service type;
  • Payment due: within 3 business days of invoice issuance (unless otherwise agreed);
  • Currencies accepted: Indian Rupees (₹), US Dollars ($), or by arrangement;
  • Payment methods: SWIFT bank transfer (HDFC Bank), cryptocurrency by arrangement.

Service Delivery Timeline

  • Document Verification: 2–5 business days;
  • On-Site Inspection: 5–10 business days;
  • Compliance Audit: 7–14 business days;
  • Dispute Resolution: from 14 business days (individual basis).

Specific timelines are confirmed upon order placement. Delays caused by third parties (supplier, government authorities) do not constitute a breach of the Service Provider’s obligations.

Acceptance of This Offer

This public offer is deemed accepted by the Client through any of the following actions: payment of the issued invoice; written email confirmation authorising the start of work; submission of a verification request via the website contact form with subsequent order confirmation. Acceptance constitutes full and unconditional agreement to all terms.

Liability

The Service Provider’s liability for service quality is limited to the amount actually paid by the Client for the specific service. Reports are of an informational and analytical nature and do not constitute legal or auditing opinions. The Service Provider does not guarantee specific commercial outcomes from using the information contained in reports.

Dispute Resolution

The parties shall seek to resolve disputes through negotiations. A mandatory pre-litigation claims procedure applies with a 15 business day response period. Unresolved disputes shall be referred to the competent court at the Service Provider’s registered location (Goa, India) unless otherwise agreed. Confidentiality

Both parties undertake not to disclose confidential information for 3 years after contract termination. Personal data processing is governed by the Privacy Policy (EN).
